Cherries Trust – 2023 AGM
Notice of Annual General Meeting
This Notice is to advise you of the upcoming Annual General Meeting of the Members of AFC Bournemouth Community Mutual Limited (also known as the Cherries Trust) called in accordance with Rules 28 and 29 of the Society – the Rules are downloadable here.
The details of this meeting are as follows:
- Date: 25 May 2023
- Time: 7:30pm
- Place: Online
- Attendees: Full (paid-up) Members only
At the meeting, Members will have the opportunity to:
- Find out and ask questions about AFC Bournemouth Community Mutual Limited’s operations and finances;
- Speak about any items on the agenda;
- Vote on any resolutions proposed;
- Endorse new policies for the Society;
- Elect 3 Board Directors.
RESOLUTION
- General Resolution 1: Acceptance of minutes of previous annual general meeting.
- General Resolution 2: Acceptance of accounts for ending 6 December 2022.
- General Resolution 3: The members of the Society shall not require an audit for the accounts for the period ending 6 December 2023.
- General Resolution 4: Appointment of Independent Examiner.
- General Resolution 5: Endorsement of new Society Policies.
- Extraordinary Resolution 1; Adoption of new Society Rules.
Members may propose a Motion in accordance with Rule 26:

- Completed motion proposal forms must be received by the Secretary no later than NOON on 13 April 2023.
Members may stand for election to the Board:
- Details can be found on the election nomination form downloadable here.
- Completed election nomination forms must be received by the Secretary no later than NOON on 13 April 2023.
Only current, full (paid-up) Members are allowed to attend and vote at the AGM:
- To be eligible to attend and vote at this AGM you must be a current, full Member of the Society as of NOON on 13 April 2023;
- You can pay your membership fee here.
If you cannot attend the meeting, you may appoint a Proxy to vote on the Resolutions and in the election of Board Directors on your behalf:
- Details can be found on the Proxy Form which will be sent out with the Agenda in advance of the AGM.
- Returning the form of proxy will not prevent you from attending the meeting and voting in person, in which case your form of proxy will be rescinded.
- A full A full 2 days’ notice of nomination is required under the society rules of a proxy therefore any proxy nominations must be received by NOON on 23 May 2023 or the nomination will be deemed invalid.
