Notice of Cherries Trust Annual General Meeting

The Cherries Trust have announced the date of their upcoming Annual General Meeting of the Members of AFC Bournemouth Community Mutual Limited (also known as the Cherries Trust) called in accordance with Rules 28 and 29 of the Society.

The details of this meeting are as follows:

• Date: 25 May 2023
• Time: 7:30pm
• Place: Online
• Attendees: Full (paid-up) Members only

Gayle Hope, the Society Secretary, said “The AGM is an important event in our year, where Members come together to find out and ask questions about AFC Bournemouth Community Mutual Limited’s operations and finances; speak about any items on the agenda; vote on any resolutions proposed and endorse any new policies for the Society.

This year there will be four General Resolutions on the Agenda. In addition, we will be taking an Extraordinary Resolution to adopt new Rules. Our current Rules were adopted in 2016 and are now out of date due to changes in legislation and widely adopted operating practices. The proposed new Rules are based on the model rules set out by the Football Supporters Association of which we are an Affiliate. The model rules are fully compliant with current legislation. Their adoption would be the final step in completing the actions identified in an audit of our governance structures and procedures undertaken earlier this year.”

The Resolutions being taken for approval by Members are:

• G1 – General Resolution 1: Acceptance of minutes of previous annual general meeting.
• G2 – General Resolution 2: Acceptance of accounts for ending 6 December 2022.
• G3 – General Resolution 3: The members of the Society shall not require an audit for the accounts for the period ending 6 December 2023 and authorise the Board to appoint an Independent Examiner.
• G4 – General Resolution 4: Appointment of Independent Examiner.
• G5 – General Resolution 5: Endorsement of new Society Policies.
• E1 – Extraordinary Resolution 1: Adoption of new Society Rules.

Hope continued, “At the AGM we will also be holding elections for Board Directors. This time three seats on the Board are available to be filled. All Members can stand and vote in the election. Members directly selecting the Board is an important part of our democratic structure and ensures that the Board reflects the views and priorities of the membership. We have some innovative initiatives planned for later in 2023 and are looking for new Board members to take a lead in some of those projects.”
