Notice of 2024 Annual General Meeting

This Notice is to advise you of the upcoming Annual General Meeting of the Members of AFC Bournemouth Community Mutual Limited (also known as the Cherries Trust) called in accordance with Rules 29 and 30 of the Society. The details of this meeting are as follows:

• Date: 23 May 2024
• Time: 7:30pm
• Place: Via ZOOM
• Attendees Full (paid-up) Members only

At the meeting, Members will have the opportunity to:

• Find out and ask questions about AFC Bournemouth Community Mutual Limited’s operations and finances,
• Speak about any items on the agenda,
• Vote on any resolutions proposed,
• Elect 7 Board Directors,
• Endorse new policies for the Society.

At the meeting, Members will be asked to vote on the following Resolutions:

• General Resolution 1: Acceptance of minutes of previous annual general meeting.
• General Resolution 2: Acceptance of accounts for ending 31 December 2023
• General Resolution 3: The members of the Society shall not require an audit for the accounts for the period ending 31 December 2024.
• General Resolution 4: Appointment of Independent Examiner.
• General Resolution 5: Endorsement of new Society policies.

Members may propose a Motion in accordance with Rule 27:

• Details can be found on the motion proposal form sent out with this notice or downloadable here.
• Completed motion proposal forms must be received by the Secretary no later than NOON on 11 April 2024.

Members may stand for election to the Board:

• Details can be found on the election nomination form sent out with this notice or downloadable here.
• Completed election nomination forms must be received by the Secretary no later than NOON on 11 April 2024.

Only current, full (paid-up) Members are allowed to vote at the AGM:

• To be eligible to vote at this AGM you must be a current, full Member of the Society as of NOON on 11 April 2024;
• If your membership is due for renewal, you can renew here.

If you cannot attend the meeting, you may appoint a Proxy to vote on the Resolutions and in the election of Board Directors on your behalf:

• Details can be found on the Proxy Form which will be sent out with the Agenda in advance of the AGM;
• Returning the form of proxy will not prevent you from attending the meeting and voting in person, in which case your form of proxy will be rescinded.
• A full A full 2 days’ notice of nomination is required under the society rules of a proxy therefore any proxy nominations must be received by NOON on 21 May 2024 or the nomination will be deemed invalid.
