Cherries Trust AGM May 2023 – Election Results

The Cherries Trust held Board Elections and its Annual General Meeting at a fully quorate meeting on 25 May 2023.

The following Trust members were elected to the Board following an affirmatory vote under Rule 8.2, with each candidate achieving more than the required 50% of the votes of members present and proxies:

  1. KEVIN ANGEL
  2. HEATHER HOGGATT
  3. ANDY SMITH

They will be joining the current board at its next meeting in June.

The AGM followed the election. Members present considered and approved the following Resolutions:

  • Extraordinary Resolution 1: Adoption of new Society Rules by a vote of more than 75% of members present at the AGM and proxy votes. The approved Rules will be submitted to the FCA and made public after the submission Is ratified.
  • General Resolution 1: Acceptance of minutes of last meeting by a simple majority vote of members present at the AGM and proxy votes.
  • General Resolution 2: Acceptance of accounts for the period ending 6 December 2023 by a simple majority vote of members present at the AGM and proxy votes. The accounts will be submitted to the FCA and made public after the submission Is ratified.
  • General Resolution 3: Disapply the requirement for an Audit and apply an Independent Examination of the accounts for the period ending 31 December 2024 by a simple majority vote of members present at the AGM and proxy votes.
  • General Resolution 4: Agreement of the appointment of an Independent Examiner by a simple majority vote of members present at the AGM and proxy votes.
  • General resolution 5: Endorsement of side policies for the Society by a simple majority vote of members present at the AGM and proxy votes.

In closing remarks, the Board put on record its thanks to Brian Troake who formally stood down from the Board at the end of the AGM for his help and support of the Board since his first election in November 2019.
